The HR Matters Magazine Website ("hr-matters.info") is owned and operated by Flipside Sdn Bhd. Where not stated, HR Matters refers to the HR Matters Magazine. The Terms of Use informs visitors of the rules and policies that govern our website usage. Visitors includes the individuals or organisations who subscribe to our print magazine ("our subscriber base") as well as other persons who access our website. Visitors are expected to follow any posted guidelines or rules. The terms may be updated from time to time and we advise you to check back on any updates periodically. Such changes or updates are effective from date posted on the website. Your access or use of this website constitutes your agreement to be bound by the Terms. If you do not agree with these Terms, then you are advised not to use this site. General Terms
1. Acceptance of a booking shall only occur when HR Matters has approved the booking. HR Matters reserves the right to withhold publication of any advertisement or to cancel the advertisement booking that has been accepted, without stating any reason thereto.

2. No liability is accepted for losses arising from omissions, failure to publish, publication of wrong copy, typographical, poor positioning, or any other mistake or error. In case of such losses, the advertiser is not exempted from contractual obligations.

3. The advertiser is not exempted from any contractual obligations in the event of late or non-receipt of material.

4. The advertiser agrees to furnish, on demand, artwork or materials for completion.

5. Where bookings for advertisement are made subject to it being placed adjacent to or opposite editorial, it shall only be accepted subject to availability at the time of going to press.

6. HR Matters does not guarantee any results in respect of advertisements inserted in the Magazine.

Cancellation of Advertisement Bookings.
7(i) Cancellations sent in , in writing within 14 days from date of booking but no later than 30 days from date of issue of magazine will not incur any penalty. Date of issue is taken as 1st of the month of the edition. Cancellation at any other time will incur full advertising fees. All cancellations must be made in writing.
7(ii) Cancellations may be made by HR Matters where deemed appropriate. Cancellation here means the advertisement concerned may be removed from the requested Issue of the magazine. Such cancellation may be effected by HR Matters where :-
a) you fail to pay any sum due and payable under the Booking Agreement for the Advertisement;
b) you commit a material breach of the Booking Agreement or a series of breaches which when taken together consitute a material breach, unless in the case where a breach may be capable of remedy, you undertake to remdy the breach within fourteen days of receiving a notice to do so;
c) you cease or threaten to cease to carry on business or are unable to pay your debts as they fall due;
d)your company is under voluntary or compulsory winding up or liquidation or a petition for you or any of your organisation's directors bankruptcy is presented or proposed or you are the subject of a receiving order in bankruptcy; or
e) you fail to provide content as required to, within the confines of the Booking Agreement.
7(iii)
Where an invoice has been generated but the registration form has yet to be signed, the issuance of the invoice by HR Matters is deemed to constitute registration by the client for the service and thereafter, acceptance of HR Matters terms and conditions so applicable.

Payment Policy
8(i) The terms of payment for all advertisement bookings received are strictly within seven (7) working days of receipt of an invoice from HR Matters.
(ii) All payments shall be made in full unless otherwise agreed and shall be evidenced by an official receipt. The receipt shall only be considered valid upon clearance of all monies/funds. An invoice will be sent by fax or email to the relevant cardholder or accounts personnel upon receipt of the Advertising Booking Form.
(iii) Where the Advertising Booking Form is received less than seven (7) days from due date for receipt of advertising artwork for the upcoming issue, full payment shall need to be made within that period itself unless prior special arrangements have been discussed and agreed upon.
(iv) HR Matters reserves the right to charge interest at the rate of 1.5% per month on any overdue account.
(v) All invoices and receipts are computer generated and therefore require no signature.

9. The advertiser is held liable for all damages and costs that may arise from any action that may be instituted against HR Matters by reason of the publication of the advertisement.

10. The advertiser specifically indemnifies the publisher against any claim whatsoever arising from the publication of any advertisements. HR Matters accepts no responsibility for typesetting work/artwork done by a third party on behalf of the advertiser.

Artwork Submission
11. All material and copy is subject to approval by the publishers. Advertisers are required to send digital proofs as well as printed colour proofs as well. Failure to provide both digital and colour printed proofs may result in advertisements not being printed to specification and not according to the client's colour requirements, such results HR Matters shall not be liable for.

12. HR Matters reserves editorial discretion on the timing and content of each issue. The advertiser's submission may be edited due to size requirements of the magazine and the advertiser agrees to abide by HR Matter's decision as to choice of articles featured.

13. Non receipt of material. All material must be received by the close of business on the material deadline date or risk being excluded. This date is provided in the Advertising Booking Form.

14. All artwork must be handed in, in its final form.
(i) This means that no further editing or graphic design work shall be required to be done to the specified artwork by either HR Matters or the client.
(ii) Final form here also refers to it falling within the specification of the advertisement size booked. For example, a half page horizontal advertisement space booked should not result in materials handed in for a half page vertical advertisement.
(iii) Should artwork not be given according to the mechanical specifications, then HR Matters is at liberty to resize or reformat the advertisement to comply with the specifications listed.
(iv) If HR Matters designs advertising material, a proof of the finished artwork will be made available for approval before printing.
(v) Artwork is required to be handed to HR Matters in final form as this is a booking for advertisement space only. It does not include charges for amendments or further editing of artwork.
(vi) Any further editing or design work required should be requested in advance. Separate charges apply. The client is obligated to provide full materials including source photographs, advertorial copy and any layout instructions according to the deadlines required to be considered for inclusion.

15. HR Matters reserves the right to cancel any material deemed inappropriate. HR Matters reserves the right to destroy any material unclaimed after 1 month.

16. Materials provided by the advertiser shall not be returned.

17. The advertiser agrees to any design changes incurred for material to be amended should the material not fall within specification or requires further edit. HR Matters may cut or alter any prints, artwork or other materials supplied in order to conform to mechanical specifications, without being responsible for any loss.

Miscellaneous
18. In the event of legal action being instituted for recovery of any amounts owing by the advertiser, the advertiser will be liable for all costs, including legal costs.

19. HR Matters reserves the right to increase the rates at any time.

20. All advertisements are accepted and published on the representation by the advertiser that they are authorised to publish the entire contents and subject matter thereof and that such publication will not violate any law or infringe upon any right of any party.

21. In consideration of the publication of advertisements the advertiser shall jointly and severally, indemnify and save HR Matters harmless from and against all losses and expenses arising out of the publication of such advertisements, including, without limitation, those arising from claims or suits for defamation, copyright or trademark infringements, misappropriation, violation to the right of privacy or publicity, or from any and all similar claims.

22. Any condition on contracts, orders or copy instructions involving the placement of advertising within an issue (such as page location, competitive separation or placement facing editorial copy) will be treated as a positioning request only. HR Matter's inability or failure to comply with any such condition shall not relieve the advertiser of the obligations to pay for advertising.

23. Advertisers may not make changes in advertising after the Materials have been handed in by the due date.

24. The provision of any editorial or features do not form part of this agreement and shall be provided at the absolute discretion of HR Matters.

25. The editorial calendar may change without notice.

26. HR Matters shall not be subject to any liability whatsoever for failure to publish or circulate all or any part of any issue or issues for any circumstance.

27. 17. If the advertiser requests HR Matters to make any additions or deletions to advertisements previously supplied by the Advertiser, HR Matters shall bear no responsibility for any errors made in connection with this.

28. The Advertiser acknowledges that HR Matters shall, in its discretion, be entitled to place the word ‘advertorial’ on any copy which in HR Matters' opinion closely resembles editorial matter.

29. The terms governing the Advertising Booking are laid out here and in the Advertising Booking Form. Completing and sending in the Advertising Booking Form constitutes acceptance of these terms.

30(i) Any unenforceable clause herein shall not effect the enforcibility of the rest of the terms.
(ii) All relevant and applicable codes of advertising, sales promotion and direct marketing shall be complied with in the preparation and design of your advertisement.
(iii) You confirm and warrant that you are duly authorised to use all Proprietary Material and any other Matter so incorporated into your Advertisement (s) which may be protected by any intellectual property right.

Inserts
31. Sample Requirement
At least 3 copies of samples of any proposed insert needs to be submitted for checking before you can proceed with an order for the insert. You can clarify full specifications on booking. Current insert rates are provided in the HR Matters Media Kit
32. Booking and Cancellation Deadlines
Booking Deadline : Minimum 3 weeks prior to publication date
Cancellation Deadline : Minimum 2 weeks prior to publication date
Material Deadline : Minimum 1 week prior to publication date
33. 100% booking fee will apply :-
(i) should insert fail to arrive in time for publication;
(ii) should insert be cancelled after the deadline set; or
(iii) insert is cancelled for not meeting required
specifications.
34. Specific Terms for Inserts
i) The orientation of loose inserts cannot be guaranteed (may appear upside -down or back to front).
ii) Loose sheets are not permitted within a multiple page insert.
iii) Inserts which do not comply with initial booking details may be subject to re-evaluation and may not make the deadline for insertion.
iv) All inserts must be identical in terms of technical specifications for any particular publication.
v) Inserts with different specifications necessarily are treated as separate products.
vi) Please note that these specifications are subject to change without notice. All bookings are subject to the Terms and Conditions outlined in your booking form and as outlined on the HR Matters website. Full terms are outlined on the HR Matters website.
vii) The current price structure is for a two page insert. Two pages here refer to the pagination as per the magazine size. A two fold insert would therefore be akin to a six pager and the pricepoints would differ.
viii) As a the current price structure is for a two pager, there is no requirement for fold. Hence, materials are sent to us in final form and no work need be done to prepare/fold for insertion.

Advertising + Design Services
37. Advertising and design services here refer to the artwork creative concept and design work done for advertisers who book ad space in HR Matters Magazine.
i) We work with the client to create the ad concept and design as best meets their requirements
ii) Where possible, clients need to provide us with the best quality resolution images for use in their artwork. We are also able to source quality stock imagery for use.
iii) Our ability to work to deadline and requirements is contingent on the client being clear and timely in the delivery of the concept idea and necessary supporting materials and images.
iv) The fees for advertising and design services are separate from fees charged for booking advertising space.
v) Booking of advertising space does not include advertising and design services.

Terms governing promotions
These terms govern the special promotions on from Nov 2009 onwards as advertised.

SUPER SAVER ! package includes :-

  • 3 panel print ads
  • 4 eNewsletter ads (150x150pixel)
  • Free website ad or sponsor content on website for 1 month/Free ad design

Free branding at HR Matters events - you will get logo presence in our email marketing campaigns and website as supporting partner.
Free inserts into HR Matters magazines for handout at events we participate in - We are media partners at a number of select HR events both locally and regionally. As media partners, the HR Matters magazine is provided as complimentary handouts to the seminar or forum participants. Inserts here refer to your ability to provide 1 insert per magazine when we are involved in these events.
Newsletter ads refer to ads placed in the HR Matters magazine newsletters. These newsletters go out a minimum of 4 times a year to coincide with the print publication. However, occasionally news letters are issued at other times for general announcements or other notices. Your ad will be placed in the Newsletter that coincides with the issue of the print publication.
Free website ad/sponsor content on website - when a newsletter ad is placed, the same ad is placed on the homepage of the HR Matters magazine. The click-through from the newsletter takes the reader to the magazine homepage. A further click-through takes the reader to a specified file. This can either be your website or a designated URL you provide. The sponsor content refers to click-through to other documents eg an attachment (jpeg, word or pdf document) hosted on our website that you provide.


These terms govern the special promotions on from May until July 2009 as advertised.

1. Static banner advertisement size is 200x150 pixel.It's a static banner ad that appears on the HR Matters website. It also provides click-through from your ad on the HR Matters website to your brochure. The click-through option can be directed towards a pdf brochure, jpeg image, client homepage or specific client URL as directed. Only one option can be chosen at any one time.
2. Completed artwork must be delivered in its final form as a jpeg output. No further work on artwork to be designed or amended. Artwork to be delivered by due date specified.
3. The 4 eNewsletter ads appear on the HR Matters website and the eNewsletter appears four times per year for a two week duration each time

This includes logo presence on print marketing materials (as and when applied), on event banners, on email campaigns and on website promotion. This also includes a networking opportunity as you will be given a complimentary seat at the event.

THE SAVER PLUS ! PACKAGE
Terms and conditions apply.

Terms Governing Attendance at the HR Matters Forum or related events

1. These terms govern you if you are purchasing attendance to a forum or event organised by HR Matters magazine or one that the magazine is involved in and to your company if they provide the payment, regardless of attendance or substitution. These terms also govern the attendance of free events you may be privy to, as a Paid Subscriber of the Magazine. Such participation includes the benefits listed therein the Registration Form only.

2. Substitution Policy. You may confirm purchase of attendance at an event by signing and returning a HR Matters Registration Form, by sending an email or fax confirming the event and payment details or by confirming the same by telephone. Substitutions are acceptable from the you or your Company, where booked by your Company provided that it is a substitution with persons of similar business level and it is agreed upon by you and HR Matters prior to the Event. HR Matters requires that substitutions be informed at least 5 days prior to the event date.

3. Confidentiality. You covenant to keep all Proprietary Information and any information concerning the management, operations, properties, business or procedures of HR Matters, which is or may be exchanged with you and which is not in the public domain secret and confidential. The obligations in this Clause shall continue to apply after the event. You hereby acknowledge and accept that HR Matters may forward certain information concerning your participation to the Speakers and to the Sponsor(s) (where applicable). Should you not be agreeable to any of the information that may be forwarded, you should communicate the same to HR Matters.

4. Liability. You acknowledge and accept that, to the extent permitted by law, HR Matters shall be under no liability to you whatsoever, whether in contract or tort (including, without limitation, negligence), breach of statute or any other legal or equitable obligation in respect of any other loss or damage. In making arrangements with third parties for carriage by air, hotel accommodation, transportation, restaurants and otherwise, HR Matters acts only as agent of the Attendee and does so on the express condition that no liability of any kind howsoever caused shall attach to HR Matters in connection with or arising out of such arrangements. HR Matters shall not be held liable for any behaviour resulting from any attendee's excessive consumption of alcohol.

5. Indemnity. The Attendee hereby indemnifies and holds HR Matters harmless from and against all and any costs, damages and expenses, which are incurred by the Attendee, its agents and employees.

6. Copyright. The Attendee acknowledges and accepts that copyright in the whole and/or part of the Event is and remains the property of HR Matters. Action for unauthorised use or access will be taken.

7. Status. This Agreement is not intended to create a relationship of partnership, joint-venture or agency between the parties and neither parties shall hold itself out as being so related. All Attendees are independent contractors.

8. Warrant. Each party warrants that it has authority ability and power to enter and perform its obligations and the acts required of it under this Agreement and shall do all such things to give effect to this Agreement.

9. Enforceability. Any clause or part of a clause of this Agreement which is unenforceable, illegal or void is severed and is ineffective only to that extent within that jurisdiction and the rest of this Agreement remains in force.

10. Understanding. This Agreement in conjunction with the Registration Form signed or communicated to HR Matters contains the entire agreement and understanding between the parties on everything connected with the subject matter and supersedes and merges any prior agreement or understanding on anything connected with that subject matter.

11. Time. Time is of the essence in dealings with Attendees in relation to these events.

12. Variation. An amendment or variation to this agreement is not effective unless it is in writing and signed by the parties.

13. Remedies. Except where otherwise specified, the rights and remedies granted to a party under this Agreement are cumulative and in addition to, and not in lieu of, any other rights or remedies which the party may possess at law or in equity.

14. Survival. The terms of this Agreement survive its termination to the extent permitted by law. This Agreement shall be binding upon the heirs, executors, administrators and successors in title of the parties.

15. Venue. The Attendee further agrees to abide by the terms and conditions of the venue owner, the terms of which may be furnished on request.

16. Miscellaneous. The Attendee acknowledges that no other warranties, representations or acknowledgements, written or verbal, have been made which are not reflected herein.
i. Cancellation. Should the Attendee's behaviour at any point for any reason, including but not limited to, delay in provision of the necessary information or excessive alterations to requirements have any effect on the smooth operation of the Event, HR Matters maintains the right to cancel the Attendee's booking by written notification.
ii. Dispute Resolution. The Attendee agrees to resolve in good faith any dispute in a spirit of goodwill and compromise through a mediator.

Payment Policy
1. The terms of payment for attendee registrations at any HR Matters event is strictly within seven (7) working days of receipt of an invoice from HR Matters.

2. All payments shall be made in full unless otherwise agreed and shall be evidenced by an official receipt. The receipt shall only be considered valid upon clearance of all monies/funds. An invoice will be sent by fax or email to the relevant cardholder or accounts personnel upon receipt of the Registration Form.

3. Where the registration is received less than seven (7) days from the date of the Event, full payment shall be made the day preceding the Event unless prior special arrangements have been discussed and agreed upon.

4. HR Matters reserves the right to charge interest at the rate of 1.5% per month on any overdue account.

5. All invoices and receipts are computer generated and therefore require no signature.

6.Where an invoice has been generated but the registration form has yet to be signed, the issuance of the invoice by HR Matters is deemed to constitute registration by the client for the service and thereafter, acceptance of HR Matters terms and conditions so applicable.


Specific Terms pertaining to Free Access to Forums produced by HR Matters

1. This refers to Forum or workshops you may be able to attend at no cost as a result of your paid subscriber status.
2. These events are usually capped at a certain number and are generally oversubscribed. In this case, paid subscribers are prioritised over non paying subscribers.
3. Seats are limited. Therefore, registration of interest will not automatically result in a confirmed seat. Early registration of interest will increase the chance of your registration being accepted. Once you indicate your interest to attend and you are a confirmed paid subscriber, an email will be provided to confirm your seat. If you are not a paid subscriber, you will need to subscribe. Pending payment of your subscription fee, we can hold a seat for you but there are no guarantees that the seats wont be taken up in the meantime. Confirmed seats are allocated to paid subscribers.
4. Subscription must be either emailed or posted in and accompanied with the requisite payment for seat reservation.
5. Free access to the Forum is given to paid subscribers. Therefore, seats cannot be transferred over to other people within the organisation or to colleagues.
6. Subscription is allocated not to an organisation but to an individual. Therefore, a subscription cannot be shared between two or more people even from the same organisation.
7. When your seat at the Complimentary Forum has been confirmed by us, and there is a no-show, a no-show fee of RM250 will be charged to you for not attending. This fee is applicable to all events that are provided on a complimentary basis by us and for which you have indicated interest in attending. As costs are incurred, this RM250 charge will be levied for any no-show. The RM250 charge will be waived if at least 10 working days notice is provided, in writing.
8. Ramadhan Offer. The Offer is on from 8 September - 14 September 2010. The offer is - All those interested in getting a yearly subscription to the magazine will be entitled to attend the HR Toolkit Forum on 22 September 2010 for free. They will be allowed to bring one guest, client or colleague with them to the HR Toolkit Forum as their guest. The guest will not be obligated to pay for the Forum or subscribe to the magazine. The guest must be a HR practitioner. The Subscriber who books on during this offer period must send proof of payment made by 14 September 2010. Offer is limited to one guest per new subscriber.

Cancellation and Refund Policy

i. Cancellation by HR Matters. HR Matters shall not be held responsible for any loss or damage consequent upon the postponement or cancellation thereof. Individual companies or individuals may take out insurance coverage through their own brokers. Should the event be cancelled for reasons outside of the Company's control, attendees who have paid for attendance will be given a refund or a credit at a future event valid for a period of one (1) year. All refunds paid shall be processed within 60 days of the receipt of the written request.

ii. Postponement by HR Matters. Should the event be postponed, attendees who have paid will be given an automatic credit to attend the postponed event. Alternatively, an attendee may request in writing for a full refund. All refunds paid shall be processed within 60 days of the receipt of the written request.

iii. Cancellation by the Attendee.
On receipt of the Registration Form, a seat is reserved for the Attendee and payment will be due. The late delivery of an invoice shall not mean that the monies due are not payable. An attendee who wishes to cancel his registration shall do so as soon as possible after the decision so as not to incur a cancellation fee.

iv. Cancellation by the delegate- cancellation fees applicable.
For cancellations more than 30 working days before event, there is no cancellation fee payable.
For cancellations less than this, the following applies:-
Cancellation < 30 working days of the Event
Cancellation fee equivalent to 25% of the fee as stated on the Registration Form shall be due and payable
Cancellation < 15 working days of the Event
Cancellation fee equivalent to 50% of the fee as stated on the Registration Form shall be due and payable
Cancellation < 7 working days of the Event, on the Event day or after the Event
Cancellation fee equivalent to 100% of the fee as stated on the Registration Form shall be due and payable

v. Payment of cancellation fee. The cancellation fee shall be deducted from the payment made already and where there is a refund of the balance applicable, the refund of the balance shall be returned to the attendee. Where no payment has been received, the cancellation fee shall be payable within 14 days of notice of fee being applicable.
vi. The Cancellation Policy applies regardless of whether payment has been received from the attendee or not.




Sudoku Challenge
1. All the general terms as pertains attendance at HR Matters events (Terms Governing Attendance at the HR Matters Forum) apply here.
2. The challenge is subject to judges' decision which is final. No appeals or requests will be entertained.
3. The challenge is subject to any decision by HR Matters Magazine to postpone for extraneous reasons. In the event of postponement or cancellation, no refunds or claims will be entertained.
4. All necessary and reasonable endeavour shall be made to contact the winner once the challenge winner is selected. However, if the winner does not come forward or is not contactable, HR Matters Magazine is free to select a new winner.
5. Incomplete or illegible entries will be automatically disqualified, no notice need be given. You acknowledge that HR Matters Magazine may disqualify you if you are ineligible for any reason after the announcement of the winner has been made.
6. If your contact details change once you enter the challenge, it is your responsibility to notify HR Matters Magazine so that you can be contacted.
7. The winner may not transfer the attendance at the Forum to anyone else.
8. Prize is not exchangeable for cash.
9. HR Matters Magazine may terminate the Challenge at any time without notice and no losses shall be borne by the magazine as a result.


Subscriber Promotion

1. Existing paid subscribers can get a year's free subscription to the magazine by referring 2 friends to subscribe to the magazine.
2. The 2 friends must subscribe and pay for a minimum of 1 year subscription to the magazine.
3. This offer runs separate from any other offer.
4. New subscribers can also get this offer on referral and payment by 2 friends.
5. The offer applies to new subscriptions and payments. Existing paid subscriptions cannot retrospectively apply for this offer.
6. This offer expires 27 Feb 2011.
7. You need to complete a special subscription form on the Subscribe Page. Put your full details down together with the names of 2 others who are interested in purchasing a 1 year subscription. Send this in before the due date.
8. Your 1 year free subscription will be effective when there is a match between the names you have provided/referred and the new subscribers confirm that you have referred them to the magazine.
9. Your subscription is effective at the start of the calendar year. For example, if you are currently a paid subscriber for 2011 and refer 2 paid new subscribers, your free 1 year subscription starts in 2012.
10. This offer cannot apply to existing paid subscriptions. Proof of payment for new subscriptions must be provided at the time subscription is sent in.
11. This offer does not apply when the person referred has on their own chosen to pay for a subscription separately.
